Section 01

Parties & Purpose

This Subscription Agreement ("Agreement") is entered into between:

The natural person or legal entity who completes the checkout process and accepts these terms ("you", "Subscriber").

This Agreement governs your subscription to the BookWalker digital library platform. It supplements and must be read alongside the Terms of Service and Privacy Policy. In the event of conflict between this Agreement and the Terms of Service regarding billing matters, this Agreement prevails.

Section 02

Key Definitions

Subscription
A paid recurring access arrangement granting the Subscriber full access to the BookWalker platform and its content library.
Introductory Period
The initial promotional access period at a reduced price, the exact duration and price of which are stated on the Payment Page at the time of first payment.
Recurring Fee
The monthly fee charged after the Introductory Period expires, as stated on the Payment Page at the time of first payment.
Payment Page
The final checkout page presented to the Subscriber immediately before payment is submitted. The Payment Page is the sole authoritative source for current pricing. All other price references are indicative only.
Continuous Payment Authority (CPA)
The authority you grant to VINIKIS LTD to charge your payment method on a recurring basis without requiring separate authorisation for each charge.
Billing Date
The date on which each recurring charge is applied, determined by the date of first payment and subsequent monthly anniversary dates.
Digital Content
The books, texts, and related digital materials accessible through the platform during an active Subscription.
Section 03

What You Are Purchasing

By subscribing, you are purchasing access to a digital platform and service — specifically, the right to access and read the Digital Content available in the BookWalker library for the duration of your active Subscription.

You are not purchasing:

  • Ownership of any individual book, text, or piece of Digital Content;
  • A permanent, perpetual, or downloadable licence to any content;
  • Any physical goods;
  • Access to any specific title in perpetuity (content availability may change).

Access to Digital Content ceases immediately upon cancellation or expiry of the Subscription. No content is retained or accessible after the Subscription ends.

Section 04

Pricing

4.1 Authoritative Pricing

The prices applicable to your Subscription are those displayed on the Payment Page at the time you complete your purchase. The Payment Page is updated in real time and constitutes the binding contractual price. Any prices stated in marketing materials, promotional communications, or other pages of the website are indicative and may differ from the current price.

4.2 Pricing Structure

BookWalker operates a two-tier pricing model:

The Introductory Period pricing and duration are set at our discretion and may vary. The Payment Page will clearly display both the introductory price and the subsequent recurring monthly price before you confirm your purchase.

4.3 Currency

Prices are displayed in Euros (EUR). Where local currency conversion is applied by your card issuer, the EUR amount stated on the Payment Page is the contractually binding amount. Currency conversion fees, if any, are charged by your bank or card issuer and are outside our control.

4.4 Taxes

VINIKIS LTD is not currently registered for VAT. Where applicable law requires collection of digital services tax, VAT, GST, or similar, this will be calculated and displayed at checkout, and may be collected by our payment processor on our behalf.

Section 05

Billing Cycle & Continuous Payment Authority

5.1 First Payment

Your first payment covers the Introductory Period as shown on the Payment Page. This payment is taken immediately upon your submission of the checkout form.

5.2 Automatic Renewal — Continuous Payment Authority

By completing the checkout and submitting payment, you:

  1. Expressly authorise VINIKIS LTD to charge your designated payment method on a recurring monthly basis ("Continuous Payment Authority" or "CPA");
  2. Acknowledge that charges will occur automatically on each Billing Date without further authorisation from you;
  3. Understand that this authority continues until you cancel your Subscription.

This Continuous Payment Authority complies with the requirements of the UK Payment Services Regulations 2017, the EU Payment Services Directive (PSD2), and card scheme rules.

5.3 Billing Date

After the Introductory Period, your Billing Date is set to the calendar date corresponding to the end of the Introductory Period. Monthly charges will be applied on this date (or the nearest Business Day where it falls on a weekend or holiday).

5.4 Notification

A payment receipt will be sent to your registered email address after each successful charge. You will not receive a separate advance notice before each recurring charge — this Agreement constitutes your standing authorisation and notice.

Section 06

Immediate Access & Acknowledgement at Checkout

The BookWalker subscription provides access to digital content. At the point of checkout, before confirming your purchase, you will be presented with the following acknowledgement which you must confirm:

This acknowledgement mechanism is compliant with:

  • Article 16(m) of EU Consumer Rights Directive 2011/83/EU;
  • Regulation 37 of the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013;
  • The requirement for express consent and explicit acknowledgement of waiver prior to delivery of digital content.

Where technical limitations prevent collection of this acknowledgement at checkout, your act of logging into your account and accessing any Digital Content after payment shall constitute equivalent consent and acknowledgement.

Section 07

Right of Withdrawal

7.1 EU Consumers

If you are a Consumer habitually resident in the European Union or EEA, you have a statutory right to withdraw from this Agreement within 14 calendar days of conclusion of the contract (the "Withdrawal Period") under Directive 2011/83/EU as implemented in your member state.

However, as described in Section 6, you expressly waive this right by confirming the acknowledgement at checkout and accessing the Service. Once you have accessed any Digital Content, the right of withdrawal is extinguished by operation of Article 16(m) of the Directive.

If you have not accessed any Digital Content and wish to withdraw within the 14-day Withdrawal Period, you may do so by contacting [email protected] with the subject line "WITHDRAWAL REQUEST" before accessing the Service. In such case, you will receive a full refund within 14 days.

7.2 UK Consumers

If you are a Consumer in the United Kingdom, equivalent rights apply under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. The same waiver mechanism applies as described in Section 6. The right to cancel under Regulation 37 is lost once you access the digital service following your explicit acknowledgement.

7.3 Non-EU / Non-UK Users

Users outside the EU/EEA and UK do not have a statutory right of withdrawal under our governing law. Refund eligibility is governed exclusively by Section 8 of this Agreement.

Section 08

Refund Policy

8.1 General Rule

All subscription fees are non-refundable once the Service has been accessed, subject to statutory rights as described in Section 7 and the exceptions in Section 8.3.

8.2 Partial Period Refunds

We do not issue pro-rata refunds for any unused portion of a paid billing period upon cancellation. Your access continues until the end of the period already paid for.

8.3 Eligible Refund Circumstances

Outside of statutory withdrawal rights, we may issue refunds in the following circumstances, at our sole discretion:

  • Technical outage: A documented and verified platform outage lasting more than 72 continuous hours during a paid billing period;
  • Duplicate charge: A charge made in error resulting in double billing for the same period;
  • Unauthorised transaction: A charge that can be demonstrated to result from fraudulent use of your payment method (subject to investigation);
  • Pre-access request: A timely withdrawal request submitted before any access has been made to the Service, as described in Section 7.

8.4 Refund Request Procedure

To request a refund in any eligible circumstance, contact [email protected] within 7 days of the relevant charge with:

  • Your registered email address;
  • The date and amount of the charge;
  • A description of the circumstances;
  • Any supporting documentation.

We will acknowledge your request within 5 Business Days and respond with a decision within 14 Business Days. Approved refunds will be processed to your original payment method within 14 days of approval.

8.5 Chargebacks

Initiating a chargeback without first following the procedure in Section 8.4 may result in account suspension. We will provide evidence to your card issuer demonstrating authorisation and service delivery. We reserve the right to recover costs associated with unjustified chargebacks.

Section 09

Cancellation

9.1 How to Cancel

You may cancel your Subscription at any time using one of the following methods:

  • Account settings: Log in → Profile → Subscription → Cancel Subscription;
  • Email: Send a cancellation request to [email protected] from your registered email address.

Cancellation must be completed at least 24 hours before your next Billing Date to avoid the next charge. Cancellations received less than 24 hours before the Billing Date may not be processed in time to prevent the next payment.

9.2 Effect of Cancellation

Following cancellation:

  • Your Subscription access continues until the end of the current paid billing period;
  • No further charges will be applied;
  • Access to Premium Digital Content will terminate at midnight on the last day of the paid period;
  • Your account data will be retained in accordance with our Privacy Policy.

9.3 Cancellation During Introductory Period

If you cancel during the Introductory Period, your access continues until the end of that period and the Recurring Monthly Fee will not be charged.

9.4 Cancellation by VINIKIS LTD

We reserve the right to terminate or suspend your Subscription immediately and without refund in cases of: material breach of the Terms of Service; fraudulent activity; account abuse; or as required by law. Where termination is for cause not attributable to your breach, we will issue a pro-rata refund for the unused period.

Section 10

Failed Payments

If a recurring payment fails, the following process applies:

Day 0
First attempt fails. Email notification sent to registered address.
Day 3
Second payment attempt. If successful, Subscription continues normally.
Day 7
Third and final payment attempt. Reminder email sent.
Day 8
If all attempts fail, Subscription is suspended. Access to Premium Content is blocked. Account remains accessible.
Day 30+
If payment is not resolved within 30 days of suspension, the Subscription is cancelled.

Access will be restored immediately upon successful payment during the suspension period. We will notify you by email at each stage of this process.

Section 11

Price Changes

We may change the Recurring Fee. We will:

  1. Notify you by email to your registered address at least 30 calendar days before the new price takes effect;
  2. Display the change in your account settings area;
  3. Clearly state the old price, the new price, and the effective date.

If you do not wish to accept the new price, you may cancel your Subscription at any time before the effective date without penalty. Cancellation after notification but before the effective date will be treated as a standard cancellation under Section 9.

Continued use of the Service after the effective date of a price change constitutes your acceptance of the new price.

Section 13

Subscriber Representations

By subscribing, you represent and warrant that:

  • You are at least 18 years of age;
  • You have the authority to authorise charges to the payment method provided;
  • The payment method belongs to you or you are authorised to use it;
  • All information provided during checkout is accurate and complete;
  • You have read and understood the pricing displayed on the Payment Page, including the Introductory Period price and the subsequent Recurring Fee;
  • You understand that your Subscription will renew automatically until cancelled.
Section 14

Governing Law

This Agreement is governed by the laws of England and Wales. EU Consumers retain the protection of mandatory provisions of their country of habitual residence. UK Consumers retain all statutory rights under the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013.

Disputes shall be resolved in accordance with the dispute resolution mechanism set out in the Terms of Service.
